Terms of Service

These Terms of Service (“Terms”) govern access to and use of LegalAuthority and related services (collectively, the “Services”), provided by Digital Horsepower, Inc. d/b/a LegalAuthority (“LegalAuthority,” “we,” “us,” or “our”). By accessing or using the Services, you (“Customer,” “you,” or “your”) agree to be bound by these Terms.

1. Description of Services

LegalAuthority provides AI-native legal practice management software, including but not limited to: case management, AI voice/chat intake, medical record retrieval and chronology generation, demand letter and document drafting assistance, discovery automation, CRM, billing, and trust accounting tools (collectively, the “Services”), offered under product lines including Clinical, Practice, and MedChron.

2. Eligibility and Account Registration

You must be a licensed law firm, attorney, or authorized staff member to register for an account.

You are responsible for maintaining the confidentiality of login credentials and for all activity occurring under your account.

You must provide accurate registration and billing information and keep it current.

3. Subscription, Fees, and Payment

The Services are offered on a subscription basis with tiers (Associate, Counsel, Partner, Firm) as described on our pricing page, which may be updated from time to time.

Fees are billed monthly via our internal billing platform unless otherwise agreed in writing.

We may change pricing with 30 days prior written notice. Continued use after a price change takes effect constitutes acceptance.

4. Customer Data and Ownership

As between LegalAuthority and Customer, Customer retains all right, title, and interest in and to data it submits to the Services, including client files, case data, medical records, and generated documents (“Customer Data”).

Customer grants LegalAuthority a limited license to access, process, and store Customer Data solely to provide, maintain, and improve the Services, and as otherwise described in our Privacy Policy and any applicable BAA.

Customer is solely responsible for: (a) the accuracy and legality of Customer Data; (b) obtaining all necessary consents from clients/claimants for collection and processing of their information, including via AI voice intake; and (c) compliance with applicable rules of professional conduct regarding use of AI tools in legal practice.

5. AI-Generated Content — Acceptable Use and Disclaimers

The Services use artificial intelligence (including third-party large language models and voice systems) to assist in generating draft documents such as medical chronologies, demand letters, and discovery responses (“AI Output”).

AI Output is a drafting aid only and does not constitute legal advice, medical advice, or a final work product. Customer (and its licensed attorneys) is solely responsible for reviewing, verifying, editing, and approving all AI Output before it is relied upon, filed, sent to any third party, or used in connection with any legal matter, claim, or proceeding.

AI Output may contain errors, omissions, or “hallucinated” content, including

incorrect citations, dates, medical facts, or figures. LegalAuthority makes no warranty as to the accuracy, completeness, or fitness of AI Output for any particular purpose.

Customer is responsible for ensuring its use of AI tools complies with applicable rules of professional responsibility, court rules (including any AI-disclosure requirements), and ethical obligations in its jurisdiction(s) of practice.

Customer will not use the Services to generate content that is unlawful, fraudulent, or that misrepresents AI involvement where disclosure is legally required.

6. Acceptable Use

Customer agrees not to:

Use the Services in violation of any applicable law, including HIPAA, state privacy laws, or rules of professional conduct

Upload data it does not have the right to upload, or for which required client/patient consents have not been obtained

Attempt to reverse-engineer, decompile, or access the Services’ underlying models or infrastructure beyond authorized use

Use the Services to build a competing product

Share account credentials outside authorized firm personnel

Interfere with or disrupt the integrity or performance of the Services

7. Third-Party Services and Subprocessors

The Services integrate with third-party providers (including Cloudflare, PaySimple, Twilio, Retell, ElevenLabs, and Anthropic) to deliver functionality. Customer acknowledges that:

Use of certain features requires data to be processed by these subprocessors under the terms described in our Privacy Policy and applicable BAA.

LegalAuthority is not responsible for outages, errors, or changes in third-party services beyond its reasonable control, though we will use commercially reasonable efforts to maintain alternative arrangements where feasible.

8. HIPAA and Business Associate Agreement

To the extent Customer’s use of the Services involves Protected Health Information, the parties’ obligations are governed by a separate Business Associate Agreement (“BAA”), incorporated by reference. In the event of a conflict between these Terms and the BAA regarding the handling of PHI, the BAA controls.

9. Intellectual Property

LegalAuthority retains all right, title, and interest in and to the Services, including all software, platform design, templates, and underlying technology, excluding Customer Data and AI Output generated for Customer’s specific matters.

Customer retains all rights to any and all documents and/or files created by LegalAuthority on behalf of customer to use as they see fit.

Customer grants LegalAuthority no rights to use Customer Data for purposes other than providing the Services, except in de-identified, aggregated form for product improvement and analytics, where permitted under the BAA and applicable law.

10. Confidentiality

Each party agrees to protect the other’s confidential information using at least the same degree of care it uses for its own confidential information of similar nature, and not less than reasonable care.

11. Term, Suspension, and Termination

These Terms remain in effect for as long as Customer maintains an active subscription.

Either party may terminate for convenience with 30 day written notice, subject to any minimum term in an order form.

LegalAuthority may suspend or terminate access immediately for: (a) non-payment after notice and cure period; (b) violation of Section 6 (Acceptable Use); (c) suspected security threat; or (d) as required by law.

Upon termination, Customer Data will be made available for export for 90 days, after which it may be deleted in accordance with our Privacy Policy and BAA.

12. Disclaimers

THE SERVICES, INCLUDING ALL AI OUTPUT, ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON INFRINGEMENT. LEGALAUTHORITY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL LEGALAUTHORITY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LEGALAUTHORITY’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE FEES PAID BY CUSTOMER IN THE THREE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

NOTHING IN THESE TERMS LIMITS EITHER PARTY’S LIABILITY FOR: (A) BREACH OF CONFIDENTIALITY OR HIPAA OBLIGATIONS UNDER THE BAA, TO THE EXTENT SUCH LIMITATION IS PROHIBITED BY LAW; (B) GROSS NEGLIGENCE OR WILLFUL MISCONDUCT; OR (C) AMOUNTS OWED UNDER SECTION 3.

14. Indemnification

Customer agrees to indemnify and hold harmless LegalAuthority from claims arising from: (a) Customer Data, including any failure to obtain required consents; (b) Customer’s use of AI Output without appropriate review, in violation of Section 5; or (c)

Customer’s violation of these Terms or applicable law.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict of-laws principles.

16. Changes to These Terms

We may modify these Terms from time to time. Material changes will be communicated via email with at least [INSERT NOTICE PERIOD] advance notice. Continued use after the effective date constitutes acceptance.

17. General

Entire Agreement: These Terms, together with the Privacy Policy, BAA, and any order forms, constitute the entire agreement between the parties.

Assignment: Customer may not assign these Terms without LegalAuthority’s consent; LegalAuthority may assign in connection with a merger, acquisition, or sale of assets.

Severability: If any provision is held unenforceable, the remaining provisions remain in effect.

No Waiver: Failure to enforce any provision is not a waiver of future enforcement.
